Gazette Media Group (GMG) Home Improvement Show Exhibitor Terms and Conditions

By registering for and participating in a Gazette Media Group ("GMG") Home Improvement Show ("Show"), Exhibitor agrees to be legally bound by the following Terms and Conditions.

Show Rules & Regulations

Exhibitor agrees to:

  • Comply with all applicable federal, state, and local laws, ordinances, regulations, and venue rules, including those related to health, safety, accessibility, consumer protection, licensing, and taxation.
  • Abide by all Show rules established by GMG, including those contained in the Exhibitor Manual and any written updates issued before or during the Show.
  • Comply with all applicable labor agreements and union requirements.
  • Obtain all licenses, permits, inspections, certifications, and governmental approvals required for its participation.
  • Pay all applicable taxes arising from its participation.
  • Use only intellectual property for which Exhibitor has the legal right to use and indemnify GMG against any infringement claims.
  • Staff and maintain its exhibit during all published Show hours.
  • Display only products and services approved by GMG.

GMG Rights

GMG reserves the right, at its sole discretion, to:

  • Determine exhibitor eligibility.
  • Refuse, remove, relocate, or restrict any exhibitor or exhibit.
  • Modify booth assignments or floor plans.
  • Change the Show date, hours, venue, or layout.
  • Cancel, postpone, relocate, or suspend the Show.
  • Enforce all rules necessary for the orderly operation of the Show.

Liability & Indemnification

GMG, the event facility, sponsors, contractors, vendors, media partners, and their respective officers, directors, employees, and agents shall not be liable for any injury, loss, theft, damage, or expense incurred by Exhibitor or its employees, representatives, contractors, guests, or property.

Exhibitor agrees to indemnify, defend, and hold harmless GMG and all related parties from any claims, damages, liabilities, costs, judgments, and expenses (including reasonable attorney's fees) arising out of or relating to:

  • Exhibitor's participation in the Show.
  • Exhibitor's products or services.
  • Exhibitor's negligence or misconduct.
  • Any breach of these Terms & Conditions.

Limitation of Liability

To the fullest extent permitted by law, GMG's total cumulative liability arising from or relating to the Show or this agreement shall not exceed the total exhibit fees actually paid by the Exhibitor for the applicable Show. Under no circumstances shall GMG be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages, including lost profits, lost business opportunities, business interruption, or loss of goodwill. Force Majeure

GMG shall not be liable for delays, interruptions, or cancellations resulting from events beyond its reasonable control, including but not limited to acts of God, severe weather, fire, flood, terrorism, civil unrest, labor disputes, pandemics, epidemics, governmental actions, utility failures, venue issues, or any other emergency.

GMG reserves the right to cancel, postpone, relocate, shorten, extend, or otherwise modify the Show without further liability.

Booth Assignment, Sharing & Relocation

Booth assignments are made at the discretion of GMG and are subject to change.

Exhibit space may not be assigned, shared, transferred, or subleased without prior written approval.

GMG reserves the right to relocate exhibitors whenever deemed necessary for the overall success or operation of the Show.

No Exclusivity

Unless expressly agreed to in writing by GMG, Exhibitor is not granted exclusive rights to market, promote, sell, or display any product, service, brand, or business category. GMG reserves the right to accept multiple exhibitors offering similar or competing products and services.

Booth Guidelines & Professional Standards

Exhibits must remain within assigned booth boundaries.

Displays, signage, lighting, sound, demonstrations, and promotional activities must be conducted professionally and may not interfere with neighboring exhibitors.

GMG reserves the right to require modification or removal of any display considered unsafe, offensive, misleading, disruptive, or inconsistent with the quality of the Show.

Americans with Disabilities Act (ADA)

Exhibitor is solely responsible for ensuring its exhibit complies with all applicable ADA requirements and accessibility laws.

Insurance

Exhibitor assumes all responsibility for its exhibit, employees, contractors, merchandise, displays, and personal property.

GMG is not responsible for theft, loss, or damage.

Upon request, Exhibitor shall provide proof of general liability insurance with minimum limits of $1,000,000 per occurrence naming GMG as an additional insured.

Security

Exhibitors are solely responsible for securing their exhibit space, inventory, equipment, electronics, displays, and valuables during move-in, Show hours, and move-out.

Hazardous Materials

No hazardous, flammable, explosive, illegal, toxic, or otherwise dangerous materials may be brought into the Show without prior written approval from GMG and the venue.

GMG may remove prohibited materials without refund.

Sales Tax & Licensing

Exhibitor is solely responsible for collecting, reporting, and remitting any applicable sales or use taxes and obtaining any licenses or permits required for conducting business during the Show.

Payment Terms & Fees

A minimum deposit of fifty percent (50%) is due upon registration.

Booth space is reserved on a provisional basis and is not guaranteed until all required payments have been received in full. GMG reserves the right to release, cancel, or reassign unpaid exhibit space without notice if payment deadlines are not met.

If GMG offers Early Bird pricing, the discounted rate applies only if the Exhibitor pays the required amount in full during the published Early Bird promotional period. Any unpaid Early Bird registrations automatically revert to the standard booth rate, and Exhibitor shall be responsible for paying the difference regardless of the original registration date.

The remaining balance is due thirty (30) days before the Show.

A $40 fee applies to returned checks.

A 3.5% processing fee applies to credit card payments.

A 3.5% service charge will be deducted from any applicable refunds.

Failure to make timely payment may result in cancellation of exhibit space without refund.

Exhibitor agrees to pay all costs of collection, including reasonable attorney's fees.

Cancellation Policy

All cancellations must be submitted in writing.

  • 45 or more days before the Show: GMG retains 50% of the total booth fee.
  • 44 days or fewer before the Show: GMG retains 100% of all booth fees paid.

These retained amounts constitute agreed liquidated damages reflecting planning costs, marketing expenses, administrative costs, staffing, and the potential inability to resell exhibit space.

GMG may approve transfers to another GMG-produced Home Improvement Show at its sole discretion and subject to availability.

Failure to pay, occupy exhibit space, or comply with these Terms & Conditions may result in cancellation without refund. Chargebacks & Payment Disputes

Chargebacks & Payment Disputes

Submission of payment constitutes acceptance of these Terms & Conditions.

Exhibitor agrees not to initiate a chargeback or payment dispute before first contacting GMG in a good-faith effort to resolve the matter.

If a chargeback is filed:

  • GMG may provide these Terms & Conditions and supporting documentation to the payment processor.
  • Exhibitor shall reimburse GMG for all chargeback fees, attorney's fees, administrative expenses, and collection costs.
  • GMG may immediately terminate current and future participation.
  • Any unpaid balance shall become immediately due.
  • An improper chargeback constitutes a material breach of this agreement.

Attendance & No Guarantee of Results

GMG does not guarantee attendance, booth traffic, sales, leads, media exposure, or return on investment.

Attendance estimates are projections only and may vary due to weather, economic conditions, competing events, marketing performance, or other factors.

Participation is for promotional purposes only, and no refunds or credits shall be issued based upon attendance or business results.

Photography & Media Release

Exhibitor grants GMG the perpetual, royalty-free right to photograph, video record, and otherwise capture Exhibitor's booth, products, logos, displays, employees, and representatives for promotional, advertising, educational, archival, and marketing purposes without compensation.

Nature of Show

The Home Improvement Show is intended to provide consumers with information regarding home improvement products and services.

GMG does not endorse, warrant, or guarantee any exhibitor, contractor, product, or service presented at the Show.

Electronic Communications Consent

By registering, Exhibitor consents to receive invoices, receipts, event information, schedules, operational notices, and promotional communications from GMG by email, telephone, text message, or other electronic means. Exhibitors may opt out of promotional communications at any time, but transactional and event-related communications may continue as necessary.

Mandatory Arbitration

Any dispute arising out of or relating to this agreement or participation in the Show shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Arbitration shall take place in the State of Michigan before a single arbitrator.

The prevailing party shall be entitled to recover reasonable attorney's fees and costs as determined by the arbitrator.

Class Action Waiver

All claims must be brought solely in an individual capacity and not as part of any class, collective, or representative action.

Waiver of Jury Trial

By agreeing to these Terms & Conditions, the parties knowingly waive any right to a trial by jury.

Entire Agreement

These Terms & Conditions constitute the complete agreement between the parties and supersede all prior oral or written discussions, representations, negotiations, or agreements.

No amendment shall be effective unless in writing and signed by an authorized representative of GMG. Failure by GMG to enforce any provision shall not constitute a waiver of future enforcement.

These Terms & Conditions shall be governed by and construed under the laws of the State of Michigan.
