Terms and Conditions

By registering for and participating in a Gazette Media Group (GMG) produced Home Improvement Show (“Show”), Exhibitor agrees to the following Terms and Conditions:

Show Rules & Regulations

  1. Exhibitor agrees to comply with all applicable federal, state, and local laws, ordinances, and regulations, including those related to health, safety, and consumer protection.
  2. Exhibitor agrees to abide by all rules and regulations established by GMG, including those outlined in the Exhibitor Manual.
  3. Exhibitor shall comply with all applicable labor agreements and union requirements, if any.
  4. Exhibitor is solely responsible for obtaining all required licenses, permits, and approvals, and for payment of all applicable taxes.
  5. Exhibitor shall not use any copyrighted, trademarked, or otherwise protected material without proper authorization and agrees to indemnify GMG against any related claims.
  6. Exhibitor agrees to fully staff and maintain its exhibit during all Show hours and to display only products and services approved by GMG.

GMG Rights

GMG reserves the right, in its sole and unfettered discretion to:

  1. Determine the eligibility of any exhibitor or exhibit
  2. Reject, remove, or restrict any exhibitor or activity deemed objectionable, unsafe, or inconsistent with the Show
  3. Modify the floor plan or relocate exhibit space
  4. Change the Show’s date, time, or location
  5. Cancel or suspend the Show, in whole or in part

Assignment & Subletting

Exhibitor shall not assign, share, or sublease any portion of its exhibit space without prior written consent from GMG.

Indemnification

Exhibitor agrees to indemnify, defend, and hold harmless GMG, the facility, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • Exhibitor’s participation in the Show
  • Use of exhibit space or equipment
  • Any negligence, misconduct, or violation of this agreement

Liability & Insurance

  1. Exhibitor assumes full responsibility for all property, materials, and personnel associated with its exhibit.
  2. GMG and the facility shall not be liable for loss, theft, or damage to exhibitor property.
  3. Exhibitor shall, upon request, provide proof of general liability insurance with minimum coverage of $1,000,000 per occurrence, naming GMG as an additional insured.

Booth Guidelines

  1. All exhibits must remain within the assigned booth space.
  2. Standard booth height shall not exceed eight (8) feet unless otherwise approved.
  3. Signage must be professional and may not obstruct neighboring exhibits.
  4. GMG reserves the right to require modifications to any display that does not comply.

Payment Terms & Fees

  1. A minimum deposit of fifty percent (50%) is due upon registration.
  2. The remaining balance is due thirty (30) days prior to the Show date.
  3. A $40 fee will be charged for returned checks.
  4. A 3.5% processing fee applies to all credit card payments.
  5. A 3.5% service charge will be deducted from any applicable refunds.

Cancellation, Default & Remedies

  1. Exhibitor may cancel participation only by written notice to GMG.
  2. Cancellation terms:
    • 45 days or more prior: 50% of total booth fee retained
    • 44 days or less prior: 100% of payments retained
  3. All payments are otherwise non-refundable and non-transferable unless approved by GMG.
  4. Failure to pay, failure to occupy space, or breach of this agreement may result in immediate termination without notice.
  5. GMG may retain all payments, reassign exhibit space, and pursue the full contract amount as liquidated damages.

      Chargebacks & Payment Disputes

      1. Exhibitor agrees that submission of payment constitutes acceptance of these Terms and Conditions.
      2. Exhibitor agrees not to initiate any chargeback or payment dispute for valid charges under this agreement.
      3. Any billing concerns must be addressed directly with GMG prior to initiating a dispute.
      4. In the event of a chargeback:
        • GMG may provide this agreement, proof of participation, and related records to contest the claim
        • Exhibitor shall be responsible for all costs incurred by GMG, including fees, administrative costs, and reasonable legal expenses
        • GMG may immediately terminate current and future participation
        • Any outstanding balance shall become immediately due and payable
      5. Filing a chargeback after participation constitutes a material breach of this agreement.

      Attendance & No Guarantee of Results

      1. Exhibitor acknowledges that GMG does not guarantee attendance levels, booth traffic, leads, sales, or return on investment.
      2. Any attendance figures provided are estimates only and may vary due to factors including, but not limited to, weather, economic conditions, competing events, and marketing performance.
      3. Exhibitor agrees that participation is for marketing and promotional purposes and that results will vary.
      4. No refunds, credits, or adjustments shall be provided based on actual attendance or event performance.

      Force Majeure

      GMG shall not be liable for failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, weather, fire, government orders, labor disputes, or public health events. In such cases, GMG may cancel, postpone, or modify the Show without liability.

      Nature of Show

      The Home Improvement Show is intended to provide a marketplace for products and services related to home improvement, renovation, maintenance, and related industries. GMG does not endorse or guarantee the performance of any exhibitor, product, or service.

      Mandatory Arbitration

      Any dispute arising out of or relating to this agreement or participation in the Show shall be resolved exclusively through binding arbitration in the State of Michigan. Each party shall bear its own legal fees unless otherwise determined by the arbitrator.

      Miscellaneous

      1. This agreement constitutes the entire understanding between the parties.
      2. Any amendments must be in writing and signed by both parties.
      3. Failure to enforce any provision shall not constitute a waiver of future enforcement.
      4. This agreement shall be governed by the laws of the State of Michigan.
